By signing below, I hereby certify that I am an authorized representative of Customer, the information provided in this application is correct and an electronic or facsimile copy of this form will be valid and binding for all purposes. Customer agrees that the Services and/or Equipment requested from DCS TELECOM shall be provided pursuant to the applicable terms and conditions available at https://www.dcstelecom.us/maritime-terms-and-conditions (“Online Terms”), the Special Terms below and Specific Terms as found in the applicable DCS TELECOM Policy or as provided by DCS TELECOM from time to time, as well as any additional terms on this Order Form accepted by DCS TELECOM (collectively “Terms”), at the prices notified to the Customer by DCS TELECOM (“Prices”) or as set out in Appendix 1 to this Order Form, provided that if DCS TELECOM enters into a separate written agreement with Customer for the supply of Services and/or Equipment as set out in this Order Form, that such agreement shall prevail over the Online Terms. In the event of any ambiguity or inconsistency with the Terms, it shall be resolved according to the following order of precedence where those items higher in the list shall take precedence over those items lower down: (i) Special Terms, (ii) Specific Terms, (iii) Online Terms, and (iv) Order Form accepted by DCS TELECOM. By signing below, Customer agrees to be bound by the Prices and Terms (each as amended by DCS TELECOM from time to time). Special Terms: 1. Notwithstanding anything to the contrary set out in the Terms or any document incorporated in the Terms, the following Special Terms apply to this Order Form only. 2. The Initial Service Period for each Subscription Service Plan set out in this Order Form (the “Plans”) shall be twelve (12) months, forty-two (24) months, or thirty-six (36) months. 3. The Grace Period for each Plan is thirty (30) days. If Customer terminates a Plan during the Grace Period, the Early Termination Fee as set out in paragraph 8 below will be waived. 4. The Plan and any other monthly recurring Charges which are part of the Service Fee will be invoiced to Customer monthly. The Service Fee is billed monthly in arrears. The first invoice will be adjusted to reflect any pro-rating of the first month’s Service Fee where applicable, due to the date of the activation not being the first (1st) of the month. 5. Customer can move freely amongst the various Plans, both during and following the Initial Service Period, without incurring downgrade fees, if the Initial Service Period of the original and new Plan is the same. If Customer upgrades to a Plan that has a higher monthly Charge than its previous Premium Flexible Plan, Customer must stay on that Premium Flexible Plan for a minimum duration of one (1) calendar month. 6. Subscription Suspension: 6.1 Upon request by Customer, Subscription Suspension may occur for a minimum of seven (7) days and a maximum of one hundred and eighty (180) consecutive calendar days. After one hundred and eighty days, DCS TELECOM will reactivate the suspended Plan automatically without any prior notice and service billing will start. 6.2 During the Initial Service Period of a twelve (12) month Plan, Subscription Suspensions may occur for a maximum of one hundred and eighty (180) calendar days in aggregate. 6.3 Service suspension do NOT affect the hardware equipment leasing. Meaning that during service suspension, customer will be still billed for the hardware leasing charges 6.4 During the Initial Service Period of a thirty-six (36) month Service Plan, Subscription Suspension may occur for a maximum of five hundred and forty (540) calendar days in aggregate. 6.5 Customer may use Subscription Suspension for multiple periods and different durations during the Initial Service Period if the total Subscription Suspension period does not exceed the aggregate number of days allowed by the service Plan. 6.6 Subscription Suspension will extend the Initial Service Period by the duration of the Subscription Suspension. 7. Several Plans as set out in this Order Form are subject to capacity approval by DCS TELECOM prior to provisioning for each Order Form, as indicated by Note 1 included in the table in that Section. For these Plans, during a Subscription Suspension, the monthly Subscription Suspension Charge shall be equal to the Charges applicable to such Plans immediately before the Subscription Suspension. 8. In the event Customer terminates a Subscription to any Plan of this Order Form before the end of the Initial Service Period, an Early Termination Fee will be applicable which will be equal to all monthly payments due to be paid by Customer for the remainder of the Initial Service Period, up to a maximum of six (6) months in Charges for (i) the Plan the Customer is subscribed to at the time of the Subscription Termination and (ii) any rental Equipment.
